The Settlement Class consists of All Persons who were participants in or beneficiaries of the CPI Corp. Employees Profit Sharing Plan (the “Plan”) and who held CPI Corp. common stock in their Plan accounts at any time between August 31, 2010 through present, excluding any of the Defendants or their immediate family members except to the extent any such immediate family member were themselves participants in the Plan.
